A SEBI Category II AIF that invests early to capture the highest growth.

How we invest, where we invest, risk management and our proven track record.

Crafted by traders, powered by capital markets experts. EP3's platform and matching engine empower exchanges to launch swiftly and affordably.

Mandate

Urban redevelopement, land and approvals, development, special situations, PropTech

Approach

Structure, secured, milestone-linked capital, underwritten with a developer’s eye

Accountability

Sponsor capital at risk, trustee oversight, exit mapped before entry

THE FUND AT A GLANCE

Small enough to be selective. Structured to be accountable.

01

Regulated

Registered with SEBI as a Category II AIF, with an independent trustee and a fixed fund life of up to 10 years. Every term is written down before a rupee is drawn.

02

Aligned

The sponsor invests its own capital in the same pool, on the same terms. When investors lose, we lose: the manager’s share of profits comes only after investors are paid.

03

Disciplined

A ₹100 Cr corpus, with a ₹100 Cr greenshoe, keep the portfolio concentrated and the diligence deep. We would rather miss a deal than force one.

Sponsor Brickklin Partners LLP

Manager Brickklin Advisors LLP

Trustee Orbis Trusteeship Services Pvt Ltd

Tenure 8+1+1 years

One template does not fit every deal. We don’t use one.

Capital is structured to the risk in front of it — moving up the ladder only when the return justifies it.

01
Equity and quasi equity

Full participation in the outcome only where we can influence execution, which is where developers are strongest.

02
Interest plus profit share

A coupon floor with participation in the upside where execution is proven but timing is uncertain.

03
Revenue share

Paid out of collections as they arrive rather than at exit where sales velocity is the variable, not viability.

04
Secured debt and NCDs

Fixed coupon, first charge- NCDs where the investee is a company. Lowest return, lowest risk.

The security package

What we invest into

Project-level entities (private limited companies, LLPs and special purpose vehicles), chosen deal by deal for enforceability, tax efficiency and exit flexibility

The security package

Mortgage over the land or project · Charge over shares or partnership interest in the SPV · Personal and corporate guarantees from the promoter · Escrow and hypothecation of project receivables

Every rupee is secured by something real before it is exposed to something uncertain.

Before we commit.
Three gates, no exceptions.

After we commit. We stay in the deal.

Most funds write a cheque and wait for a report. A developer-led fund keeps its hands on the asset until the money comes back.

01
Drawdown

Capital released against milestones, not in a single tranche - so exposure tracks progress on the ground.

02
Control

Board or observer rights, escrow oversight and approval milestones written into the instrument at entry.

03
Engagement

Continuous work with the operating partner on approvals, execution and sales - the part we have done ourselves.

04
Realisation

Exit through the route mapped at Gate 2, or a better one, timed to value rather than to a deadline.

HOW PROCEEDS COME BACK

Your capital comes back first. Always.

Every rupee the Fund realises is distributed in this order, without exception. The manager is paid last, and only out of what is left after you are made whole.

01
Return of capital

Capital contributions returned to all unitholders before any profit is shared.

02
The hurdle

The preferred return is distributed to all unitholders.

03
Catch-up

Only once the hurdle is fully met does the sponsor class receive its catch-up distribution.

04
Residual split

The remaining proceeds are shared in the investor’s favour, according to unit class.

FOUR WAY OUT

A financier has one way out. A developer has four.

The worst exits happen to funds that have no choice. Every route below is one we can execute ourselves, which means we sell because the price is right — not because the clock ran out.

Sell

Exit the position to a developer, an institution or an incoming partner, at the point the asset re-rates.

Complete

Carry the project through approvals and delivery ourselves, and realise value from end-user sales.

Restructure

Refinance, recapitalise or bring in a partner, resetting the deal rather than accepting a discount.

Step in

Replace the operating partner and run the project. The option nobody else at the table has.
